Primary duties include:
• Contract negotiation, drafting and review, including intellectual property contracts
• Corporate and non-profit filings and other governance issues
• Advising C.A.R. and its affiliates on PAC fundraising, not-for-profit issues, antitrust and other issues
Additional duties include:
• Keeping abreast of legal developments affecting trade associations, not-for-profits, antitrust, intellectual property, and real property
• Drafting and review of legal articles, position papers and other legal materials
• Legal research and memoranda as needed
• J.D. from ABA-accredited law school
• Member of California State Bar
• 3+ years’ experience in contract drafting, negotiation and review.
• Team-oriented person with the ability to work independently when needed.
• Experience with trade associations and/or PACs strongly preferred.
• Familiarity with antitrust, intellectual property, privacy a plus.
• Excellent legal reasoning and communication and interpersonal skills required.
• Computer literate (Word, Excel, Outlook, Westlaw, internet research and use).
• Outstanding customer service orientation.

Under direction of attorneys in the Legal Department, as necessary:
*Assist members of the Legal Department in contractual and transactional matters *Review confidentiality and nondisclosure agreements for conformity to company standards for attorney final review and signature *Draft, review and analyze business, lending and other agreements as needed *Perform legal research and public searches (i.e., UCC searches) *Draft, negotiate and facilitate the related processes and procedures for execution and delivery of agreements *Track and organize key documents in business or lending transactions *Research matters internally and facilitate data or information collection *Interface with outside counsel, internal clients and customers *Other duties as assigned.
*Prepare initial drafts of loan documents and modifications for attorney review *Review "Laserpro" prepared documents for proofreading purposes and conformity with credit approval *Review real property title documents, including preliminary title reports, and provide recommendations for appropriate endorsements *Review and analyze environmental assessment reports in connection with the Bank's commercial lending activities.
*Assist with regulatory monitoring of applicable federal, state, and local laws and regulations *Proofread Regulatory Bulletins for legal and regulatory developments *Proofread and distribute notifications of relevant developments *Maintain spreadsheets, logs and other tools used to record regulatory monitoring *Enter regulatory monitoring data into SharePoint system.
*Bachelor's Degree and a minimum of five (5) years or more work experience in a Paralegal role
*Paralegal Certificate required; ideally from an ABA-Approved Paralegal Program *Knowledge of or experience in the financial services industry and/or the mortgage lending or servicing industries is a plus.
*Knowledge of or experience in secondary marketing or investor requirements is a plus *Strong computer skills including knowledge of Microsoft applications and contract databases.
*Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates.
